Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of takebk.com and the TAKEBK platform, products, artist tools, NFC experiences, and messaging services operated by Marjani Entertainment LLC (“TAKEBK,” “we,” “us,” or “our”). By using TAKEBK, you agree to these Terms.

TAKEBK service

TAKEBK is a direct-to-fan music technology platform that helps participating artists create physical NFC-enabled releases linked to private digital experiences. Features may change as the platform develops.

Accounts and eligibility

You must provide accurate information, protect your login credentials, and use TAKEBK lawfully. You are responsible for activity under your account. You may not interfere with the service, bypass access controls, misuse fan data, impersonate others, upload malicious material, or infringe another person’s rights.

Artist content

Artists retain ownership of content they submit. By uploading content, an artist represents that they have all rights needed to use and distribute it through TAKEBK and grants TAKEBK a limited license to host, reproduce, display, transmit, and process that content as needed to provide the service. Artists are responsible for licenses, clearances, credits, and permissions.

Orders, production, and fulfillment

Prices, quantities, shipping, taxes, production timing, and product specifications are shown during ordering or confirmed separately. TAKEBK physical runs are custom-produced; the current production estimate is approximately 2–3 weeks after artwork approval. Shipping time is additional. Delivery may take longer because of carrier delays, customs processing, supply-chain disruptions, or broader international events outside TAKEBK's control. Physical color, print placement, hardware, packaging, and delivery timing may vary within reasonable manufacturing tolerances. Except where required by law, customized products may not be cancellable or returnable after production begins.

Platform access and Basic fallback

Qualifying physical drops may include a stated period of TAKEBK Artist or TAKEBK Pro platform access. Unless otherwise stated at checkout, included access begins when the associated paid project first becomes live. When included or paid platform access ends, the artist account may return to Basic. Basic preserves previously released music and previously sold NFC-key fan access, while artist-facing platform tools such as analytics, fan-directory tools, messaging, key activity, premium content management, and other paid features may be paused until access is renewed or another qualifying drop activates access. Shipping and taxes are separate from any stated physical-run price unless expressly shown as included.

Fan Support and Stripe Connect

When an artist enables Fan Support, verified keyholders may make optional one-time support payments through Stripe-hosted Checkout. These payments are direct charges to the artist’s connected Stripe account. The participating artist—not TAKEBK—is the merchant of record and is responsible for the supporter relationship, fulfillment of any artist-promised benefit, applicable taxes, and compliance with Stripe’s connected-account terms.

TAKEBK currently charges a 0% platform fee on Fan Support. Stripe processing, currency-conversion, payout, refund, dispute, and other applicable Stripe fees may still be deducted. Fan Support is not a charitable donation and is not represented as tax-deductible. TAKEBK may change its platform-fee policy prospectively only after posting updated terms and clearly disclosing the change before a new support payment.

Refunds are handled by the connected artist through Stripe, subject to applicable law and Stripe’s rules. Refunds, payment reversals, chargebacks, and disputes may reduce or reverse the artist’s Stripe balance or payouts. TAKEBK may display gross support, refunded amounts, and dispute status for informational purposes; displayed gross support is not a promise of the amount that will reach an artist’s bank account.

NFC access

NFC compatibility depends on the device, browser, settings, network, and hardware. A physical key may provide access only while it is active and properly registered. TAKEBK does not promise that every device or third-party service will remain compatible.

Text messaging program

By providing your mobile number and affirmatively selecting the separate, optional text-consent checkbox, you consent to receive recurring promotional SMS and MMS messages from TAKEBK and the participating artist you selected. Messages may include new-release announcements, show information, merchandise, special offers and promotional artist updates. Message frequency varies. Message and data rates may apply. Consent is not a condition of purchase.

Fan communications

Participating artists may access information submitted to their fan list and must honor the permissions selected by each fan. Artists may not message a fan through a channel marked as not approved or use fan information unlawfully.

Third-party services

TAKEBK may rely on third-party services for hosting, payments, communications, fulfillment, embedded media, and other functions. Their separate terms and policies may apply, and TAKEBK is not responsible for third-party services outside our control.

Disclaimers

To the maximum extent permitted by law, TAKEBK is provided “as is” and “as available.” We disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted operation, commercial results, audience growth, or availability of any particular feature.

Limitation of liability

To the maximum extent permitted by law, Marjani Entertainment LLC and its personnel will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenues, data, goodwill, or opportunities arising from TAKEBK. Any liability that cannot legally be excluded will be limited to the amount you paid TAKEBK for the service giving rise to the claim during the preceding twelve months.

Indemnity

You agree to defend and indemnify Marjani Entertainment LLC from claims, losses, or expenses arising from your content, unlawful use of TAKEBK, violation of these Terms, or infringement of another party’s rights.

Termination

We may suspend or terminate access when reasonably necessary to protect TAKEBK, users, carriers, rights holders, or the public; investigate misuse; comply with law; or enforce these Terms.

Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute will be brought in a court of competent jurisdiction in California unless applicable law requires otherwise.
